Please read these Terms of Service carefully before using the ICODAX platform.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and ICODAX ("Company," "we," "us," or "our") concerning your access to and use of the ICODAX platform, including our website, applications, and services (collectively, the "Platform").

By accessing or using the Platform, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.

2. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Platform under applicable laws
  • Not have been previously suspended or removed from the Platform
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

By using the Platform, you represent and warrant that you meet all eligibility requirements. If you do not meet these requirements, you must not access or use the Platform.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring your account information remains accurate and up-to-date

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms. You may also delete your account at any time through your account settings.

4. Platform Use and Services

4.1 Decentralized Resource Sharing

ICODAX is a platform that enables users to contribute resources (skills, funds, time, ideas, services, or networks) to collaborative projects. Users can create projects, join existing projects, vote on project decisions, and share in project profits according to their contributions.

4.2 Blockchain Integration

The Platform utilizes blockchain technology for voting, transaction verification, and profit distribution. By using the Platform, you acknowledge and agree that:

  • Blockchain transactions are irreversible and immutable
  • You are responsible for the security of your wallet and private keys
  • We are not responsible for losses due to wallet compromise or user error
  • Transaction fees (gas fees) may apply and are your responsibility

4.3 USDC Transactions

The Platform uses USDC (USD Coin) on the Polygon network for financial transactions. You acknowledge that:

  • You are responsible for obtaining and managing your USDC
  • Cryptocurrency values may fluctuate
  • We do not provide financial, investment, or tax advice
  • You should consult with appropriate professionals before making financial decisions

4.4 Project Risks and Warnings

IMPORTANT: Participating in projects on the ICODAX platform involves significant risks. You should carefully consider the following before contributing:

Financial Risks:

  • You may lose all or part of your financial contributions
  • Projects may fail to generate revenue or profits
  • There is no guarantee of return on investment
  • Market conditions and external factors may negatively impact project outcomes
  • Cryptocurrency values are volatile and may decrease significantly
  • Transaction fees and gas costs may reduce your returns

Project Execution Risks:

  • Projects may not be completed as planned or within expected timeframes
  • Project creators may abandon projects or fail to deliver promised results
  • Team members may not have the necessary skills or experience
  • Projects may face unforeseen technical, legal, or operational challenges
  • Collaborative decision-making may lead to conflicts or delays

Technology Risks:

  • Smart contracts may contain bugs or vulnerabilities
  • Blockchain networks may experience congestion or technical issues
  • Wallet security breaches may result in loss of funds
  • Platform downtime or technical failures may affect your ability to participate

Regulatory and Legal Risks:

  • Cryptocurrency regulations vary by jurisdiction and may change
  • Projects may face legal challenges or regulatory scrutiny
  • Tax implications of cryptocurrency transactions vary by location
  • You are responsible for compliance with applicable laws in your jurisdiction

Liquidity Risks:

  • You may not be able to withdraw or transfer your contributions immediately
  • Project tokens or shares may have limited or no market liquidity
  • Profit distributions may be delayed or subject to project milestones

⚠️ WARNING: Only contribute resources you can afford to lose. ICODAX does not guarantee project success, profitability, or return of contributions. You are solely responsible for evaluating projects and making informed decisions. We strongly recommend consulting with financial, legal, and tax professionals before participating.

5. User Conduct and Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Violating any applicable laws, regulations, or third-party rights
  • Posting false, misleading, or fraudulent content
  • Impersonating any person or entity or misrepresenting your affiliation
  • Harassing, threatening, or abusing other users
  • Posting spam, advertisements, or unsolicited promotional content
  • Attempting to gain unauthorized access to the Platform or other users' accounts
  • Interfering with or disrupting the Platform's operation
  • Using automated systems (bots, scrapers) without permission
  • Engaging in market manipulation or fraudulent voting practices
  • Money laundering or financing illegal activities
  • Posting content that is illegal, obscene, defamatory, or infringes intellectual property rights
  • Attempting to circumvent security measures or exploit vulnerabilities

Violation of these prohibitions may result in immediate termination of your account and legal action.

6. Intellectual Property Rights

6.1 Platform Content

The Platform and its content (including text, graphics, logos, images, software, and design) are owned by ICODAX and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6.2 User Content

You retain ownership of content you post on the Platform ("User Content"). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display your User Content for the purpose of operating and promoting the Platform.

6.3 Content Responsibility

You are solely responsible for your User Content and represent that you have all necessary rights to post it. We do not endorse or guarantee the accuracy of User Content and are not liable for any User Content posted by third parties.

7. Disclaimers and Limitations

7.1 "As Is" Basis

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 No Investment Advice

We do not provide investment, financial, legal, or tax advice. Any information on the Platform is for informational purposes only and should not be construed as professional advice. You should consult with appropriate professionals before making any decisions.

7.3 Third-Party Content

The Platform may contain links to third-party websites or services. We are not responsible for the content, accuracy, or practices of third-party sites and do not endorse them.

7.4 No Guarantee of Results

We do not guarantee that projects will be successful, profitable, or achieve their stated goals. Participation in projects involves risk, and you may lose your contributions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICODAX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Loss of cryptocurrency or digital assets
  • Business interruption
  • Loss of goodwill or reputation
  • Any other intangible losses

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless ICODAX and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content
  • Your conduct on the Platform

10. Dispute Resolution

10.1 Informal Resolution

If you have a dispute with us, you agree to first contact us at support@icodax.com and attempt to resolve the dispute informally for at least 30 days before initiating any formal proceedings.

10.2 Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and the arbitrator's decision shall be final and binding.

10.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

11. Miscellaneous

11.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ICODAX regarding the Platform and supersede all prior agreements.

11.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

11.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
